BEFORE: KEITH and JONES, Circuit Judges, and HOLSCHUH, District Judge* Order TKT, Inc. (TKT) appeals from a grant of summary judgment dismissing its complaint against Chifli, Inc. (Chifli) for wrongful cancellation of contract. TKT, a Kentucky corporation organized to engage in the business of transportation, entered into an agency agreement with Chifli, a common carrier by motor vehicle operating under ICC certificate of convenience No. MC 80388. The agreement authorized TKT to conduct cartage operations under Chifli's certificate. Section 12(c) of the agreement provided that it was subject to immediate cancellation in the event of conduct by the agent which ""is in violation of the law or governmental regulations and which adversity [sic] effects [sic] the business of Principal.""
